Terms of Service

Calendarly is an iOS application that allows users to display their calendar on the Lock Screen with automatic updates.

The app works primarily locally on your device and does not require user accounts.

Automatic updating relies on Apple's Shortcuts app and on automations that you create and control on your own device. Those are Apple features, and we cannot guarantee their behaviour or availability.

Calendarly may be used by users of all ages.

The app does not ask you to create an account and does not request your name, email address or contact details.

If you are below the age at which you can agree to terms of this kind where you live, please use the app with the involvement of a parent or guardian.

We grant you a personal, non-exclusive, non-transferable, revocable license to use Calendarly on devices you own or control, in accordance with Apple’s App Store Terms.

You may not:

• copy, modify, or redistribute the app
• reverse engineer, decompile or attempt to extract the source code, except to the limited extent that applicable law expressly permits it despite this restriction
• circumvent, disable or interfere with the paid features or purchase checks
• interfere with, overload or misuse the sign-in function that completes the Todoist connection, or use it other than through the app
• use the app for unlawful purposes

The app, its design, its layouts and its artwork remain ours. This licence transfers no ownership. Wallpapers you generate are yours to use as you like.

Part of Calendarly is free to use, and part of it is unlocked by a purchase. Which layouts and features sit on each side is a product decision that we may adjust over time as the app grows.

If you have bought Calendarly Pro, that purchase keeps giving you what it granted at the time you bought it, for as long as it is active. Changes to the composition of the free tier apply going forward and are not applied retroactively to strip something you have already paid for.

Calendarly may offer paid features via in-app purchases.

All payments, subscriptions, and refunds are:

• processed exclusively by Apple App Store
• managed via RevenueCat for purchase validation
• subject to Apple’s payment and refund policies

Calendarly:

• does not process payments directly
• does not store billing information
• cannot issue refunds independently

Refund requests must be made directly through Apple.

Subscriptions renew automatically unless auto-renewal is turned off at least 24 hours before the end of the current period. Your Apple account is charged for renewal within 24 hours of the end of that period. You can manage or cancel a subscription at any time in your Apple account settings. A one-time purchase does not renew.

Prices are shown in the app before you buy and may change for future purchases and renewal periods; Apple notifies subscribers of price increases as its rules require. If a free trial is offered, any unused part of it ends when a subscription is purchased.

Nothing here affects the statutory right of withdrawal or the consumer guarantees you may have where you live.

Your calendar, reminder and task content is read and rendered on your device and is never uploaded to us. Preferences and saved layouts are stored locally and are removed when the app is deleted.

Calendarly sends anonymous product usage events so we can see which features are used. These are not linked to your identity and are never used for advertising. We do not sell your data and do not share it with third parties for their own purposes.

The Privacy Policy describes all of this in detail and forms part of these Terms.

Calendarly relies on a small number of third-party services:

• Apple — the sole processor of payments and refunds
• RevenueCat — purchase validation and subscription state
• Mixpanel — anonymous product analytics
• Todoist — only if you choose to connect your account

Each is described in the Privacy Policy. Your use of those services is governed by their own terms, and we are not responsible for them, for their availability, or for changes they make to their APIs.

Connecting Todoist is optional. It requires your own Todoist account and is subject to Doist's terms of service and privacy policy.

Calendarly requests read-only access. It displays your tasks on a wallpaper and never adds, completes, edits or deletes anything in Todoist. You can disconnect at any time in the app, or revoke access from your Todoist account settings.

Calendarly is an independent product. It is not created by, affiliated with, or supported by Doist. If the Todoist API changes or becomes unavailable, the integration may stop working, and the rest of the app continues to work without it.

If you send us a suggestion, bug report or feature idea, you allow us to use it to improve Calendarly without any obligation, payment or confidentiality on our side. Please do not send us anything you consider confidential.

We reserve the right to:

• update or modify the app
• add, remove, or change features
• temporarily or permanently discontinue the app

We are not obligated to provide continued access to any specific feature. If we discontinue the app entirely while you hold an active subscription, we will stop billing for future periods; refunds remain a matter for Apple.

Calendarly is provided “as is” and “as available”.

We make no warranties that:

• the app will be error-free
• the app will always be available
• the app will meet all user expectations
• a wallpaper will always be generated on schedule, since that depends on iOS, Shortcuts and your device settings

Use of the app is at your own risk.

Some jurisdictions do not allow the exclusion of certain warranties. Where that is the case, this section applies only to the extent permitted, and your statutory consumer rights are unaffected.

To the maximum extent permitted by law, Calendarly shall not be liable for:

• indirect or incidental damages
• loss of data
• loss of profits
• device issues resulting from app usage

Our total liability shall not exceed the amount paid for the app, if any.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, for intent or gross negligence, or for anything else that cannot lawfully be excluded.

If your unlawful use of the app, or your breach of these Terms, causes a third-party claim against us, you agree to cover the reasonable costs and damages that result, except to the extent the claim is caused by us.

These Terms are between you and us only, not with Apple. Apple is not responsible for Calendarly or its content.

• Apple has no obligation to provide any maintenance or support for the app.
• If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
• We, not Apple, are responsible for addressing any claim relating to the app, including product liability claims, claims that the app fails to conform to a legal requirement, and claims under consumer protection or similar legislation.
• We, not Apple, are responsible for the investigation, defence, settlement and discharge of any third-party claim that the app infringes that party's intellectual property rights.
• You confirm that you are not located in a country subject to a US Government embargo or designated as a “terrorist supporting” country, and that you are not on any US Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

We may suspend or terminate access to the app if these Terms are violated.

You may stop using the app at any time by deleting it from your device.

We may update these Terms from time to time. Any changes will be published with an updated revision date.

Continued use of the app constitutes acceptance of the updated Terms.

These Terms, and any dispute arising out of them or out of your use of Calendarly, are governed by the law of the country in which the operator is established, excluding its conflict-of-law rules.

If you use Calendarly as a consumer, this choice does not deprive you of the protection of the mandatory provisions of the law of the country in which you live, and you may bring proceedings before the courts of that country. We would much rather settle anything by email first — write to support@getcalendarly.com.

If any provision of these Terms is found unenforceable, the rest stays in force and the unenforceable part is replaced by the closest enforceable equivalent.

Not enforcing a right is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between us about the app. We may transfer these Terms to a successor if the app changes hands; you may not transfer them. Apart from Apple, as described in section 14, no one else acquires rights under these Terms.

Apple, iPhone, iOS, App Store and Shortcuts are trademarks of Apple Inc., registered in the U.S. and other countries. Todoist is a trademark of Doist Inc.

Calendarly is an independent product. It is not affiliated with, endorsed by or sponsored by either company, and those names are used only to say what the app works with.
